1. Definitions

1.1 “Company” refers to Nexblue, including its subsidiaries, affiliates, and authorized regional branches.

1.2 “Programme” refers to the Nexblue Installer Incentive Programme (also referred to as the “Cashback Programme”), encompassing all associated rewards, platforms, and operational guidelines.

1.3 “Participant” refers to a professional installation entity or business organization that has successfully completed the enrollment process, passed Nexblue’s internal verification, and maintains an “Active” status within the Programme.

1.4 “Installation” refers to the successful physical mounting, electrical commissioning, and digital registration of an Eligible Product. To be valid, an Installation must be verified via Nexblue’s system telemetry and matched against a unique, authorized serial number (SN).

1.5 “Cashback” refers to the conditional monetary incentives awarded to Participants. These are discretionary commercial rewards and do not constitute a salary, wage, or permanent entitlement.


2. Eligibility & Enrollment

2.1 The Programme is open to registered installer organisations operating in the following territories, provided that all qualifying installations are completed and commissioned within those same territories:

  • Sweden (SE), Norway (NO), Netherlands (NL), Belgium (BE), Denmark (DK)

2.2 Participation is limited to organisation-level accounts, with redemption rights restricted to authorized administrators. The person registering must be authorised to join the program on behalf of the company.

2.3 Participants must:

  • Provide valid company and VAT information
  • Maintain accurate payment details
  • Complete registration via the official platform

2.4 The Company reserves the right, in its sole discretion, to interpret the terms of the Plan, approve, reject, suspend, or revoke any participation thereunder.


3. Programme Period

3.1 The Programme applies to eligible products between 1 May 2026 and 31 May 2026 (inclusive) and fully installed and commissioned on or before 30 June 2026. The Company reserves the right, in its sole discretion, to extend these deadlines.

3.2 The Company reserves the sole and absolute right to extend, shorten, suspend, amend, or terminate the Programme—in whole or in part—at its discretion and at any time for operational, regulatory, commercial, or strategic reasons.


4. Eligible Products & Scope

4.1 The Programme applies only to SDU (Single Dwelling Unit) products:

  • Edge 2
  • Edge Max

4.2 Only products bought by the installers or registered installer organisations from and only from the following distribution partners are eligible:

  • The Netherlands / Belgium: Oosterberg, YESSS Electrical NL, Senlyte
  • Sweden: EFUEL, Skårebo, Sonepar, Elkedjan
  • Norway: Skårebo, elbilgrossisten
  • Denmark: Skårebo, EFUEL

4.3 The Company reserves the right, at any time and in its sole discretion, to amend, modify, or update the list of eligible products, applicable markets, or approved distribution partners.


5. Reward Structure

5.1 Cashback Rewards

  • Eligibility & Accrual: Cashback is awarded exclusively for verified purchases where the unit installation has been successfully completed and documented.
  • Verification Process: All rewards are subject to a final review by NexBlue and relevant wholesalers. While the Partner Portal provides real-time visibility of pending rewards, the displayed figures remain provisional until final approval. NexBlue reserves the right to adjust these amounts should verification reveal any discrepancies or invalid claims.
  • Payment Schedule: Approved cashback will be consolidated and paid on a per-charger basis following the end of each calendar month.
  • Settlement Timeline: Payments will be remitted to the Participant’s registered account no later than the last day of the month following the month of verification (e.g., a January-verified installation will be paid by the end of February), subject to standard operational processing timelines.
  • Discrepancy Resolution: In the event of a conflict between the Portal display and the final processed amount, the results of the NexBlue audit and verification process shall be final and binding.

5.2 Reward Values (Per Verified Installation)

Sweden / Norway

  • Edge 2: 250 SEK cashback
  • Edge Max: 1,000 SEK cashback

Denmark

  • Edge 2: 200 DKK cashback
  • Edge Max: 800 DKK cashback

The Netherlands / Belgium

  • Edge 2: 25 EUR cashback
  • Edge Max: 100 EUR cashback

5.3 Right to Modify: The Company reserves the right to adjust reward values, incentive structures, or eligibility criteria at its sole discretion. Any such adjustments will be communicated to Participants with reasonable prior notice via the Partner Portal or registered email.

5.4 Tax Compliance and VAT Obligations

The Participant bears sole responsibility for the assessment, reporting, and payment of all taxes, levies, or government-mandated duties—including Value Added Tax (VAT)—arising from the receipt of Cashback rewards. Specifically, the Participant is responsible for reporting and paying any VAT credited by Nexblue, while Nexblue shall remain responsible for its own statutory VAT reporting obligations as required by law. Upon request, the Participant shall promptly provide Nexblue with all necessary documentation to support correct VAT treatment and financial compliance. These obligations, including the requirement to maintain accurate records for audit purposes, shall survive the termination of this Programme for the period required by applicable tax law, but in any event for a minimum of five (5) years.


6. Installation Qualification Criteria

6.1 Qualification Requirements To be eligible for Cashback rewards, an installation must strictly adhere to the following criteria:

  • Unique Identification: Each claim must be associated with a verified, unique Serial Number (SN). A specific SN is eligible for a reward one time only; duplicate claims for the same SN will be disqualified.
  • Authorized Sourcing: The unit must have been purchased through a Nexblue-authorized wholesaler within the designated territory. Units sourced via unauthorized channels, parallel imports, or secondary markets are ineligible.
  • Physical Commissioning: The unit must be a fully functional, permanent physical installation at a customer site, including successful electrical commissioning.
  • Originality of Installation: Rewards apply only to "first-time" installations of new equipment. Any unit previously installed, refurbished, or relocated from another site is expressly excluded.
  • Technical Compliance: All work must comply with Nexblue Installation Standards and applicable local regulatory requirements.

6.2 Non-Qualifying and Prohibited Activities The following scenarios do not qualify for rewards and may result in the suspension of the Participant’s account:

  • Incomplete Hardware: "Backplate-only" installations or the mounting of accessories without the primary charging unit.
  • Non-Physical Deployments: Units that have been pre-configured, registered in the App, or "staged" but not physically commissioned at a final customer location.
  • Chain of Custody Gaps: Installations where the installer was assigned to the project but the hardware was sourced from a non-designated wholesaler or an unverified third party.
  • Transaction Integrity: Any order that has been cancelled, refunded, returned, or identified as a non-commercial/internal testing unit.
  • Fraudulent Activity: Any temporary, simulated, or "sham" installations created solely for the purpose of obtaining rewards. Nexblue reserves the right to audit and verify the physical presence of any unit before finalizing payment.

7. Submission & Verification

7.1 Verification & Tracking All installations are monitored and tracked via the Nexblue Proprietary System. Eligibility for rewards is strictly contingent upon passing a multi-stage validation process, which cross-references SN data, wholesaler records, and commissioning logs.

7.2 Audit Rights & Data Usage Nexblue reserves the right to audit any installation at its sole discretion. To ensure program integrity, the Company may:

  • Evidence Requests: Mandate the submission of supporting evidence, including but not limited to photographic proof of installation, site certificates, or customer sign-off.
  • Technical Validation: Utilize system logs, firmware telemetry, onboarding records, serial numbers, geolocation data, and IP addresses to verify the physical presence and operational status of a unit.
  • Discretionary Rejection: Reject any record that is incomplete, inconsistent, or deemed suspicious during the verification phase.

7.3 Multi-Party Approval Cashback rewards are finalized and issued only upon successful, dual-party verification from both Nexblue and the designated Wholesaler. Any discrepancy between these two data sources may result in a payment hold until resolved.

7.4 Recovery & Sanctions (The "Clawback" Clause) Nexblue reserves the right to withhold, cancel, or reclaim (clawback) any rewards already paid if fraud, administrative error, system abuse, or post-payment ineligibility is identified.

  • Note: The Company may set off such reclaimed amounts against future rewards or invoice the Participant directly for the balance.

8. Organisation Eligibility at Time of Installation

8.1 Organization Qualification To be eligible for Cashback rewards, an installation must satisfy the following organizational criteria at the time of commissioning:

  • Active Registration: The installing entity must be a registered and verified Organization within the Nexblue Partner System.
  • Program Enrollment: The Organization must have formally accepted these Terms and Conditions and successfully joined the Rewards Programme prior to the date of installation.

8.2 Other Non-Eligible Scenarios

8.2.1 Organization & Participant Status To qualify for Cashback, the installation must be completed while the following conditions are met:

  • Active Affiliation: The individual installer must be formally linked to a verified Organization within the Nexblue Partner System at the time of commissioning.
  • Prior Enrollment: The Organization must have successfully joined the Programme and accepted these Terms and Conditions before the installation date.

8.3 No Retroactive Claims

8.3.1 Strict Non-Retroactivity Under no circumstances shall Cashback rewards be granted retroactively. Any installation performed prior to the official enrollment date of the Participant and their respective Organization will not be considered for payment, regardless of subsequent status changes.

8.3.2 Status Finality Eligibility is locked at the moment of installation. Any subsequent changes to an Organization’s status, membership, or affiliation after the installation date will have no effect on previously completed (and ineligible) records.

8.3.3 Final Adjudication Nexblue reserves the sole and absolute discretion to determine eligibility for any reward. The Company’s decision regarding the validation of installations, the interpretation of these terms, and the final approval of payments shall be final, binding, and not subject to appeal.


9. Limitation of Liability

9.1 General Limitation of Liability Nexblue shall not be held liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, loss of business opportunity, or reputational damage arising from the Participant’s involvement in the Programme.

9.2 System & Technical Performance The Company provides the Partner Portal and tracking systems on an "as-is" basis. Nexblue shall not be responsible for:

  • Technical Disruptions: System outages, transmission delays, or technical malfunctions that may temporarily impact the recording or visibility of installations.
  • Data Accuracy: Any discrepancies in reward totals caused by intermittent synchronization delays between the Nexblue App and the Partner Portal.

9.3 Third-Party & Payment Delays Nexblue shall not be liable for delays in the receipt of funds caused by:

  • Participant Error: Submission of inaccurate, incomplete, or outdated bank account details or tax information.
  • External Intermediaries: Delays, fees, or processing errors attributable to banking institutions, payment gateways, or other third-party financial services.

9.4 Force Majeure & External Factors The Company is exempt from liability for any failure or delay in performance caused by circumstances beyond its reasonable control (Force Majeure), including but not limited to acts of God, legislative changes, telecommunications failures, or widespread cyber-attacks.


10. Governing Law

10.1 Governing Law These Terms and Conditions, and any dispute or claim arising out of or in connection with them (including non-contractual disputes), shall be governed by and construed in accordance with the laws of Sweden.

10.2 Dispute Resolution & Jurisdiction The parties shall first attempt to resolve any dispute arising under this Programme through good-faith negotiations.

  • Exclusive Jurisdiction: If a resolution cannot be reached through negotiation, the District Court of Stockholm (Stockholms tingsrätt) shall have exclusive jurisdiction to settle any dispute or claim arising out of this Programme.
  • Exceptions: Notwithstanding the above, Nexblue reserves the right to initiate proceedings against a Participant in any other court of competent jurisdiction, particularly in the Participant’s country of residence or business, for the purpose of seeking injunctive relief or debt recovery.

11. Acceptance

11.1 Deemed Acceptance Participation in the Rewards Programme—including but not limited to the registration of an account, the submission of installation data, or the receipt of rewards—constitutes full and irrevocable acceptance of these Terms and Conditions. Participants are responsible for regularly reviewing these terms for updates; continued participation following any amendments shall be deemed as consent to such changes.

11.2 Finality of Decisions All decisions made by Nexblue regarding the Programme, including but not limited to eligibility determinations, reward calculations, verification results, and the interpretation of these Terms, are final, conclusive, and legally binding on all Participants. These decisions are made at the Company’s sole discretion and are not subject to external review or appeal.


12. Data Protection and GDPR Compliance

12.1 Data Controller Nexblue acts as the Data Controller for the personal and professional data collected under this Programme. All data processing is conducted in strict accordance with the General Data Protection Regulation (EU) 2016/679 (GDPR) and applicable local data protection laws within the territories of operation.

12.2 Legal Basis for Processing The Company processes Participant data based on the following legal grounds:

  • Contractual Necessity: To perform the obligations under these Terms and Conditions.
  • Legal Obligation: To comply with tax, accounting, and anti-money laundering regulations.
  • Legitimate Interest: For fraud prevention, system security, and the verification of installation integrity.

12.3 Scope and Purpose of Processing Participants acknowledge that the Company will collect and process specific data (including but not limited to: administrator names, business addresses, VAT numbers, bank account details, installation geolocation data and IP address) for:

  • Programme Administration: Managing enrollment, verifying eligibility, and processing Cashback payments.
  • Audit & Fraud Prevention: Cross-referencing serial numbers (SN) and system telemetry to prevent duplicate or fraudulent claims.
  • Operational Communication: Sending critical updates regarding reward status, technical changes, or Programme amendments.

12.4 Data Sharing & Third-Party Transfers To facilitate the Programme, the Company may share necessary data with:

  • Internal team and group companies: Nexblue primarily processes data within the European Economic Area (EEA). Any necessary data transfers to third countries outside the EEA is protected by appropriate safeguards, such as Standard Contractual Clauses.
  • Authorized Wholesalers: For the sole purpose of verifying purchase records and matching serial numbers.
  • Financial Institutions: To facilitate secure Cashback payment transfers.
  • Service Providers: Cloud and CRM partners (e.g., HubSpot, AWS) for secure data management within the EEA.
  • Regulatory Bodies: Where disclosure is mandated by law for tax or compliance purposes.

Nexblue maintains a strict policy against the commercialization of personal information. We do not sell Participant data to third parties, nor do we utilize such data for marketing or promotional purposes unless a separate, specific legal basis or explicit consent has been established. 12.5 Data Retention and Audit Records

  • Retention Period: Personal and transactional data will be retained for as long as necessary to fulfill the Programme’s purposes and comply with statutory obligations (typically seven (7) years).
  • Installer Obligations: Installers must maintain their own accurate records of all incentive payments for the same duration to support any potential audits.

12.6 Participant Rights Authorized representatives have the right to access, rectify, or delete their personal data, as well as the right to data portability and to lodge a complaint with a supervisory authority. All requests should be directed to support@nexblue.com.

12.7 Customer Privacy & Transparency

  • Third-Party Consent: Participants warrant that they have obtained all necessary consents from end-customers before sharing site-specific data or photographs with Nexblue.
  • Mandatory Disclosure: Participants are solely responsible for informing their customers of this Cashback arrangement where required by local consumer protection or transparency laws. The incentive must be identified as a commercial reward and not misrepresented as a government subsidy or tax grant.

13. Amendments to Privacy Provisions

Nexblue reserves the right to update this privacy notice periodically to reflect operational changes in data processing or evolving legal requirements. For material amendments affecting Participants with active enrollments, the Company will exercise reasonable endeavors to provide advance notice via the Partner Portal, Installer App, or registered email. Continued participation in the Programme following the effective date of any such update shall be deemed as a formal acknowledgement and acceptance of the revised privacy terms.
